§ Terms of Service

The terms you agree to when using StockSafe.

These Terms of Service ("Terms") are an agreement between you and Nextgen Wellness LLC, a Florida limited liability company ("StockSafe", "we", "us"), which publishes the StockSafe inventory compliance software ("Service"), available at getstocksafe.com. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 16 years old to create an account, and old enough under the law where you live to enter into this agreement on behalf of your business.

The Service

StockSafe is a software-as-a-service platform that helps small businesses track inventory, monitor expiry dates, manage low-stock alerts, generate compliance reports, and (on paid tiers) send purchase orders to suppliers and SMS notifications to opted-in users.

Accounts and acceptable use

Subscription, billing, and cancellation

StockSafe SMS Alerts program

Program name: StockSafe SMS Alerts.

Description: Transactional SMS notifications related to your inventory and purchase orders. Messages include daily low-stock and expiry alert digests for opted-in admins, and purchase order confirmations sent to suppliers when an account admin selects SMS as the delivery channel.

Who can opt in: Account holders on Pro or Max plans, by entering a mobile number in Settings and enabling the "Text me when stock alerts fire" toggle. Suppliers receive SMS only when an account admin explicitly chooses SMS as the channel for a specific purchase order.

Message frequency: Up to one digest SMS per day per opted-in admin, plus per-event purchase order messages. Frequency depends entirely on your inventory activity.

Message and data rates may apply. Standard message and data rates from your mobile carrier may apply to messages sent to or received from StockSafe. StockSafe does not charge you separately for SMS; messages count against your plan's monthly quota (500 for Pro, 2,000 for Max).

How to get help: Reply HELP to any StockSafe SMS for assistance, or email support@getstocksafe.com.

How to opt out: Reply STOP to any StockSafe SMS to unsubscribe from all future messages from that number. You can also disable SMS alerts at any time from Settings in the application by un-checking the SMS toggle.

Carrier disclaimer: Mobile carriers are not liable for delayed or undelivered messages.

Customer data and your content

You retain all rights to the data you enter into StockSafe (products, suppliers, inventory records, notes). You grant us a limited license to host, process, and display that data solely to provide the Service to you and your invited users.

You can export your product list as CSV from the Products page at any time. On account deletion, your data is removed within 30 days. See the Privacy Policy for details.

Service availability and changes

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance and unscheduled downtime may occur. We reserve the right to add, modify, or remove features. Material changes that diminish a paid feature will be communicated to active subscribers in advance.

Termination

You may stop using the Service at any time. We may suspend or terminate accounts that violate these Terms, engage in abusive or illegal activity, or repeatedly fail to pay. Where feasible, we will give notice and an opportunity to cure before terminating a paid account.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Operational responsibility. StockSafe is an automated tool designed to help you and your staff manage inventory more efficiently — it is not a substitute for professional judgment, on-site verification, or the day-to-day diligence your business is already required to perform. Counts, expiry dates, low-stock alerts, lead-time estimates, suggested purchase orders, and reports are generated from the data you, your staff, and connected suppliers enter into the system. They may be incomplete, delayed, out of sync with physical stock, or affected by user error, network issues, integration failures, or third-party services. You and your organization are solely responsible for verifying every item, expiry date, lot number, count, and order before relying on it for clinical, regulatory, financial, operational, safety, or commercial decisions.

Compliance and licensing. Where your business is subject to regulation — including (without limitation) pharmacy, medical, veterinary, dental, food-service, or controlled-substance rules — you remain solely responsible for meeting those obligations, maintaining your own records, performing required audits, and configuring the Service in a way that is consistent with the standards your licensing authority imposes. StockSafe does not constitute legal, medical, regulatory, or accounting advice. Reports generated by the Service are provided as a convenience and should be reviewed by a qualified person at your organization before being submitted to any regulator, auditor, insurer, or tax authority.

Automation. Features that act on your behalf — for example auto-drafted or auto-sent purchase orders, scheduled email or SMS digests, low-stock thresholds, and alert cadences — execute based on the configuration you choose and the data available at the time. You are responsible for reviewing those configurations, the orders they produce, and any resulting cost, shortage, or surplus. StockSafe is a tool intended to expand and ease your inventory work, not to replace the human accountability that ultimately rests with your company.

AI features. Some optional features use AI models to read what you type or upload and propose products, defaults, quantities, or invoice matches. AI output is a suggestion. It can be wrong, it can misread a label or a line item, and it is never written to your records until you confirm it. Check every suggested product, count, lot number, expiry date and price before you accept it. What the models receive, and what happens to files you upload, is described in the Privacy Policy.

Limitation of liability

To the maximum extent permitted by law, StockSafe will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service. Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim.

Resolving a dispute

Talk to us first. If something goes wrong, email support@getstocksafe.com with a description of the problem and what you want done about it. Most things end here. Neither of us may start a formal proceeding until 30 days after that email, so there is a real chance to fix it.

Arbitration. If we cannot resolve it that way, you and StockSafe agree that any dispute arising out of or relating to these Terms or the Service will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Miami-Dade County, Florida, or by video or telephone at your election. The arbitrator, not a court, decides questions about the scope of this clause. Judgment on the award may be entered in any court with jurisdiction.

What is carved out. Either of us may bring an individual claim in small-claims court instead, and either of us may go to court for an injunction to protect intellectual property or to stop unauthorized access to the Service.

No class actions. Claims must be brought individually. You and StockSafe each waive any right to bring or take part in a class, collective, consolidated, or representative action, and an arbitrator may not preside over one. If this paragraph is found unenforceable in whole or in part, that part alone is severed and the remainder of this section still applies; if the class waiver as a whole is found unenforceable, the arbitration agreement in this section does not apply to that claim and it proceeds in court.

You can opt out. Email support@getstocksafe.com with the subject "Arbitration opt-out" within 30 days of first accepting these Terms and this whole section will not apply to you. Opting out costs you nothing else; the rest of the Terms are unaffected.

Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Where a dispute proceeds in court rather than in arbitration, it will be resolved in the state or federal courts located in Miami-Dade County, Florida, and both of us consent to that jurisdiction.

Copyright complaints

StockSafe stores files and text that customers put there. If you believe something in the Service infringes your copyright, email support@getstocksafe.com with the subject "DMCA" and include: the work you say is infringed, where the material is in the Service, your contact details, a statement that you believe in good faith the use is not authorized, a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for them, and your signature (an electronic one is fine). We remove or disable material in response to valid notices and terminate repeat infringers. If your material was removed and you think that was wrong, send a counter-notice to the same address.

The rest of the agreement

Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice before they take effect, and we will say plainly what changed rather than only bumping the date. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not accept a change, you can cancel and we will refund the unused portion of a period you have already paid for, which is the one case where the no-refunds rule above does not apply.
